Structural Organization of the Club
There are 2 companies. A nonprofit in Mexico and nonprofit in the US.
The Mexican Company:
The San Carlos Pickleball Club, AC is an Asociaciones Civiles Sin Fines de Lucro, i.e., a Mexican nonprofit.
In Mexico there is a difference between Mesa Directiva (Board of Directors) and Asociados (Board Members). Typically the Mesa Directiva is President, Vice President, Secretary, Treasurer and Speaker. Currently our Mesa Directiva is Carlos, Christa, Kelly, Debbie and Ryan. The Mesa Directiva isn’t limited to a certain number of people … there could be more speakers if there was a need.
The Assembly (the Mesa Directiva & Asociados) appoints new people to the Mesa Directiva.
The Asociados of SCPBA are Karen, Theresa and Angie. The Asociados have a vote and say. There is no limit on how many Asociados a company can have but they need to serve a purpose for the Club. If someone wants to be an Asociado, they have to present a written request that has to be approved by the Assembly (the Mesa Directiva & Asociados).
Read the Board member bios here.
We don’t yet have any, but we can also have “consejeras” which would allow some interest groups to have representation on the board.
All of our legal documents are filed in the public registry.
The US Company:
The US company is called San Carlos Pickleball Club International Inc. that applied for tax-exempt status in the US and received the Employer Identification Number 87-4702824 in February 2022 from the IRS. Theresa Melius is president, RosaLee Colgrave secretary, and Lisa Watts treasurer.
That US company’s purpose is to promote Amateur Sports. In meeting that goal, it can donate to our local Mexican nonprofit.
